In consultation with our Legal Council, we will need to create various legal structures to accomplish the mission of Ohai.
Ohai will operate as a for-profit holding company for its social good businesses. We will consult with the Ohai DAO as well as legal advisors on the best corporate structure for success. Ohai LLC will include the following subsidiaries:
Ohai Real Estate Development Corp LLC
Ohai Wellness Centers LLC
Ohai Labs LLC
Ohai University LLC
Ecosystem profits from Ohai LLC social good business will flow into the Ohai Impact Investment fund.
Our intention is to create a for-profit company legally owned by a 501(c)(3) non-profit organization. The first step would be to incorporate the for-profit company as a separate legal entity. This could be done by filing the necessary paperwork with the state government and obtaining a corporate charter.
In a subsidiary structure, the for-profit company would be owned and controlled by the non-profit organization. This would allow the non-profit organization to retain control over the for-profit company's operations and decisions, while still allowing the for-profit company to generate profits and revenue.
In a joint venture structure, the for-profit company and the non-profit organization would work together to pursue a common goal or project. This could be done through a partnership agreement that outlines the roles and responsibilities of each party, and establishes a mechanism for sharing profits and losses.
Finally, in a partnership structure, the for-profit company and the non-profit organization would enter into a formal partnership agreement that outlines their respective roles and responsibilities. This agreement would also establish a mechanism for sharing profits and losses, and would outline the terms and conditions of the partnership.
The Ohai Foundation is a 501(c)(3) non-profit organization, and is supported by the generous contributions of individuals, foundations, and corporations who share our vision and mission. The Foundation is a 501(c)(3)non-profit that is the majority shareholder in Ohai LLC and its subsidiary organizations.

The Sanctuary is a 508(c)(1)(a) non-profit religious organization that uses psychedelic sacraments in its religious ceremonies.

Legalize Psychedelic Medicine DAOOhai has partnered with SDG Impact Fund to create the Ohai Impact Fund - a donor-advised fund that is a philanthropic vehicle allowing donors to make charitable contributions to the Ohai Foundation and receive immediate tax benefits, while also having the ability to recommend how their funds are invested and distributed over time.
Through the Ohai Donor Advised Fund, donors can make charitable contributions to the Ohai Foundation, and then work with our team of philanthropic advisors to recommend how their funds are invested and distributed to support the causes and organizations that they care about.
Donors can make one-time or recurring contributions to their Donor Advised Fund, and can also choose to make their contributions anonymously or in honor or memory of a loved one. Our team of philanthropic advisors will work closely with donors to help them identify and support the organizations and causes that align with their values and interests.
The Ohai Donor Advised Fund is a flexible and convenient way for donors to support the causes and organizations that matter to them, while also receiving immediate tax benefits for their charitable contributions. It is an ideal vehicle for donors who want to be more strategic and intentional about their philanthropy, and who want to have a greater impact on the causes and organizations that they care about.
